Terms of Service

These Terms govern the use of Tafels, a restaurant booking and service platform, by the restaurant or hospitality business (“you”, “Customer”) that creates an account. Tafels is operated by Memocom Solutions B.V., registered in the Netherlands under KvK number 24329958, registered office Strevelsweg 700 UNIT 509, 3083 AS Rotterdam (“Tafels”, “we”). By creating an account, or by continuing to use Tafels, you agree to these Terms and to the Privacy Policy and Data Processing Agreement, which are part of this agreement.

1. The service

Tafels lets you take reservations online, run service from a single screen, and optionally collect deposits, sell gift cards, send review requests, and connect your own systems through an API. Features are organised into modules you switch on or off, and into two plans — Starter and Premium — each with different limits and included modules, as described on the Tafels website. Staff planning (rosters, personal schedules for your team, hours and onboarding) and Email marketing (a signup form and campaigns to guests who agreed to hear from you) are optional add-ons to either plan.

We may add, change or retire features over time. We’ll try to give reasonable notice of changes that materially reduce what a paid plan includes.

2. Your account

  • You must be a business (not a consumer) using Tafels for a genuine hospitality venue, and you must give accurate information when you sign up.
  • You’re responsible for everyone you invite to your account (staff and other owners), and for what happens under their logins.
  • Keep your password and API keys confidential. Tell us if you believe an account or key has been compromised.
  • You can have more than one restaurant under one login; each restaurant is billed and configured separately.

3. Fees and billing

Starter and Premium are paid subscriptions, billed monthly in advance through our payment provider, Stripe. New restaurants get a 30-day trial of Starter or Premium without a card; after the trial you subscribe, and until you do your account is locked: guests can no longer book online and the workspace is closed, but nothing is deleted and everything is back as soon as you subscribe. Prices are shown on the Tafels website and exclude VAT, which is added where applicable. We may change prices with at least 30 days’ notice by email; continuing to use a paid plan after that date means you accept the new price.

The Staff planning add-on costs €20 per month, excluding VAT, and is added as an extra item to your subscription and billed together with it. It is included in your 30-day trial. If you remove it, it ends immediately and we credit the unused part of the period; the data you entered is kept, and it is available again if you add the add-on again.

The Email marketing add-on costs €20 per month, excluding VAT, billed in the same way, with a limit of 2,500 emails sent per calendar month and two campaigns per day; more can be agreed on request. It is included in the 30-day trial. Removing it ends it immediately with a credit for the unused period; your contact list is kept.

If a payment fails, we may suspend the paid features of your account until it’s resolved, after giving you reasonable notice. You can cancel a subscription at any time; it stays active until the end of the period you’ve paid for, and we don’t give partial refunds for unused time except where the law requires it.

4. Payments to and from your guests

On the Deposits & prepayment and Gift cards modules, your guests pay you directly through your own Stripe account, which you connect and control. Tafels is not a party to that payment: the contract for the deposit, prepayment or gift card is between you and your guest. You’re responsible for your own refund and cancellation terms, for responding to disputes Stripe raises with you, and for any tax treatment of that revenue. Tafels takes a percentage of each such payment as a platform fee, shown on the Tafels website and in your account, which Stripe deducts automatically; this is separate from Stripe’s own processing fee, which you pay under your agreement with Stripe.

5. Acceptable use

You agree not to:

  • use Tafels for anything unlawful, or to store or send content you don’t have the right to;
  • try to disrupt the service, bypass its rate limits or security, or access another restaurant’s data;
  • use the API or webhooks in a way that isn’t reasonable for running your own restaurant (for example, reselling access to Tafels’ data to third parties without our agreement);
  • use guest contact details for anything beyond managing their reservation and running your restaurant, or against a guest’s own wishes (for example, sending marketing to a guest who asked not to receive it).

6. Your data, and your guests’ data

You own the data you and your guests put into Tafels. For your guests’ personal data, you are the data controller and Tafels processes it on your behalf and instructions, as set out in the Data Processing Agreement. You’re responsible for having a lawful basis to collect and use that data, and for your own guest-facing notices (for example, what you tell guests when they book).

If you use Staff planning, you are also the data controller for the personal data of your employees and other people you plan (names, contact details, shifts, availability, hours worked and onboarding answers), and Tafels processes it on your behalf. You’re responsible for informing those people, for a lawful basis, and for what you ask them to fill in. Do not use Tafels to collect copies of identity documents or citizen service numbers (BSN). Tafels helps you plan and record hours; it does not calculate pay and does not give legal, tax or employment-law advice, and its warnings (such as rest periods) are aids, not guarantees of compliance.

If you use Email marketing, you are the sender and the data controller of your contact list. You may only email people who gave you their consent, for example by ticking the box on your booking page or confirming a signup by email; Tafels records when and how, and never emails anyone who has not ticked or confirmed. You must not upload or buy lists, and you must not send unlawful, misleading or unsolicited messages, or content that harms the reputation of the shared sending address. Every email contains an unsubscribe link, and we may limit or suspend sending, for example after many complaints or bounces, to protect all customers. You are responsible for the content of your emails and for complying with applicable marketing and privacy law.

On Starter and Premium you can export your reservations at any time. If you close your account, we’ll delete your data within a reasonable period afterwards, except where we need to keep it for legal, tax or dispute-resolution purposes, or where it remains in backups until they age out (see the Privacy Policy).

7. Availability and support

We aim to keep Tafels available and to fix problems promptly, but we don’t currently offer a formal uptime guarantee or service credits. We may need to take the service down briefly for maintenance; where we can, we’ll do this outside typical service hours and with notice.

8. Suspension and termination

You can stop using Tafels and close your account at any time. We may suspend or close an account that breaches these Terms, doesn’t pay, or where we reasonably believe it’s being used fraudulently or to harm the service or other users — where practical, we’ll warn you first and give you a chance to fix the issue.

9. Warranties and liability

Tafels is provided “as is”. To the extent the law allows, we exclude implied warranties, and we and you exclude liability for indirect or consequential losses (like lost profits or lost bookings) arising from the use of the service. Neither party’s total liability under these Terms is limited below what the law requires, and nothing here limits liability for death, personal injury, fraud, or gross negligence or wilful misconduct. Beyond that, each party’s total liability under these Terms is capped at the fees you paid Tafels in the 12 months before the claim arose.

10. Changes to these Terms

We may update these Terms from time to time. For material changes we’ll email the account owner at least 30 days before they take effect. Continuing to use Tafels after that date means you accept the updated Terms.

11. Governing law

These Terms are governed by the laws of the Netherlands, and disputes are subject to the exclusive jurisdiction of the competent court in Rotterdam, except where mandatory consumer or local law says otherwise.
